Agreement to Our Legal Terms

These Terms & Conditions ("Terms") are a contract between you (either an individual or an entity) and SaaSminder ("Company", "we", "us", "our"). They govern your access to and use of the website located athttps://saasminder.comand any related products, services, applications, or websites that link to these Terms (collectively, the "Services").

1. Our Services

SaaSminder provides an AI-powered assistant and related tools for SaaS founders to manage product context, propose content, and assist with marketing and product tasks (the "Service"). The Service is provided for general business purposes and is not tailored to comply with industry-specific regulations (e.g., HIPAA, FISMA, GLBA). If your use requires compliance with such regulations, you must not use the Services.

2. Intellectual Property Rights

We own or license all intellectual property rights in and to the Services, including source code, content, designs, trademarks, and logos (the "Content"). Except for the limited license described below, nothing in these Terms grants you any rights in the Content.

3. User Representations

By using the Services you represent and warrant that: (a) all registration information you submit is accurate and up-to-date; (b) you have the legal capacity to enter into these Terms; (c) you will comply with these Terms and applicable laws; and (d) you will not use the Services for unlawful purposes.

4. User Registration

Certain features of the Services may require you to register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorized use of your account.

5. Purchases and Payment

Note: You indicated the Services are free — no paid subscriptions or purchases are offered at this time. If we later introduce paid plans, we will publish pricing and terms when we do so and those terms will supplement these Terms.

6. Prohibited Activities

You may not use the Services for any purpose that is unlawful or prohibited by these Terms. Prohibited activities include (but are not limited to):

Reverse-engineering, decompiling, or attempting to access source code.
Using the Services to upload or distribute malware, spyware, or other malicious content.
Attempting to disrupt or interfere with the operation of the Services.
Impersonating others or posting content that infringes third-party rights.
Collecting or harvesting personal data from other users without consent.

7. User Generated Contributions

While the Service does not currently provide public posting areas, you may submit feedback, ideas, or other content to us ("Contributions"). By submitting Contributions you represent that you have all rights necessary to provide them and that they do not violate applicable laws or third-party rights.

8. Contribution License

By submitting Contributions you grant SaaSminder a perpetual, worldwide, royalty-free, transferable right and license to use, reproduce, modify, publish, translate, distribute, and otherwise exploit such Contributions in any media for any purpose, without attribution or compensation to you.

9. Third‑Party Websites and Content

The Services may include links to third-party websites, apps, or services. We are not responsible for third-party content or their terms and privacy practices. Accessing third-party sites is at your own risk.

10. Services Management

We may suspend, limit, or discontinue the Services (or any features) at any time for maintenance, security, or business reasons. We will use reasonable efforts to notify you of material interruptions when practicable.

11. Privacy Policy

We respect your privacy. Our Privacy Policy describes how we collect and use information. You can view it at /privacy-policy.

Data collection note: you indicated no personal data other than the ability to contact via email is collected. Accordingly, the Service does not require or collect billing data or other personal identifiers. We may collect non-identifying analytics (e.g., usage metrics) to improve the Service; those are described more fully in the Privacy Policy.

12. Term and Termination

These Terms remain in effect until terminated by you or us. We may suspend or terminate your access for violations of these Terms or for any other reason. If we terminate, we will notify you where feasible.

13. Modifications and Interruptions

We may change, suspend, or discontinue any aspect of the Services without notice. We are not liable for any modification, price change, suspension, or discontinuation of the Services.

14. Governing Law

These Terms will be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of laws principles.

15. Dispute Resolution

For any dispute arising out of or relating to these Terms, the parties agree that the courts of the Netherlands shall have exclusive jurisdiction to resolve such dispute. This choice of forum does not prevent either party from seeking provisional or injunctive relief in any competent jurisdiction.

16. Corrections

Information on the Services may contain typographical errors or inaccuracies. We reserve the right to correct any errors or omissions and to change or update information without prior notice.

17. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

18. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SAASMINDER OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

19. Indemnification

You agree to indemnify and hold SaaSminder harmless from any claim or demand, including reasonable attorneys' fees, arising out of (a) your breach of these Terms, (b) your Contributions, or (c) your violation of applicable law.

20. User Data

You are responsible for any data you submit to the Services. While we may perform routine backups, we are not responsible for lost or corrupted data.

21. Electronic Communications, Transactions, and Signatures

By using the Services you consent to receive electronic communications and agree that electronic notices satisfy any legal requirement for written notice. You also agree that electronic signatures are binding.

22. California Users and Residents

If you are a California resident and your complaint is not resolved with us, you may contact the California Department of Consumer Affairs.

23. Miscellaneous

These Terms constitute the entire agreement between you and SaaSminder regarding the Services. If a provision is unenforceable, the remaining provisions will remain in effect.
